AudioPrime is a product provided by Section Box BV ("Company", "we", "us"). Welcome to AudioPrime, accessible at audioprime.co. By accessing, signing up for, or using our video optimization, ASR audio priming, metadata hygiene, and digital signal processing (DSP) tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not use our Services.
AudioPrime provides automated digital signal processing, metadata stripping, audio injection, container re-encoding, and algorithmic legibility utilities for video and audio content. The Service operates strictly as an automated technical processor.
You retain full ownership of all raw audio, video, and textual scripts uploaded to the Service ("User Content"). By submitting User Content, you represent, warrant, and covenant that:
The Deep Clean + Hook processing mode prepends a one-second clip drawn from a library we assemble from third-party stock footage, licensed to us under the Pexels License.
You receive a non-exclusive, non-transferable right to use that clip solely as incorporated into your processed output. You may not extract, resell, redistribute or sublicense the clip on its own, nor include it in a stock-media library or similar collection.
We screen this library to exclude identifiable persons, and the clips are altered before delivery — reframed and captioned. You remain responsible for ensuring that your finished video complies with the policies of the platforms you publish to and with applicable law. We may add, replace or withdraw clips at any time, and we do not warrant that any particular clip will remain available.
You agree not to use AudioPrime for:
Recurring Plans: Paid subscription tiers (Starter, Pro, Agency) are billed in advance on a recurring monthly cycle via Stripe. Subscriptions renew automatically unless canceled prior to the renewal date via the Customer Portal.
Right of Withdrawal (EU/EEA consumers): Where you are a consumer resident in the EU or EEA, you would ordinarily have fourteen (14) days to withdraw from a distance contract for digital services. By completing checkout you expressly request that we begin supplying the service immediately, and you acknowledge that you thereby lose your right of withdrawal once performance has begun, to the extent permitted by applicable law.
Where a right of withdrawal nonetheless applies, any refund will be reduced in proportion to the credits already consumed at the time of withdrawal. Credits are consumed at the point of processing, and consumed credits are not refundable.
IMPORTANT DISCLAIMER: AudioPrime is a technical metadata and audio DSP optimization utility. We do NOT guarantee reach, distribution, algorithmic placement, account safety, view counts, engagement, ad approval, conversion rates, or financial performance on any social network, advertising exchange, or hosting platform (including Meta, TikTok, and YouTube). Platform recommendation algorithms are proprietary, dynamic, and outside our control.
To preserve user privacy and server efficiency, working session directories, uploaded source media, and downloadable output files (MP4 and ZIP archives) are automatically swept and permanently erased from our servers after an automated retention window (typically 24 hours). You are solely responsible for downloading and backing up your processed files immediately upon completion.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AUDIOPRIME, ITS OPERATORS, DIRECTORS, AFFILIATES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA LOSS, PLATFORM AD ACCOUNT BANS/RESTRICTIONS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF FIFTY US DOLLARS ($50.00 USD) OR THE AMOUNT YOU PAID TO AUDIOPRIME IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless AudioPrime and its officers, directors, contractors, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your violation of these Terms, or your infringement of any third-party rights or platform policies.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which AudioPrime's operating entity is organized, without regard to its conflict of law provisions.
